Teamgo California Consumer Privacy Act

This California Consumer Privacy Act addendum (the “Addendum”) is made by and between Teamgo and the Customer. This Addendum is incorporated into and forms part of the Agreement and applies where Teamgo processes Personal Information on behalf of the Customer pursuant to the Agreement. This Addendum shall control in the event of any inconsistencies between this Addendum and the Agreement.

1. Definitions

1.1 For the purposes of the Addendum:

1.1.1 “Business” has the meaning given that term under the CCPA;

1.1.2 “CCPA” means the California Consumer Privacy Act, as may be amended from time to time, and any rules or regulations implementing the foregoing;

1.1.3 “Personal Information” means any information the Customer provides to Teamgo that relates to or could reasonably be associated with a united States California resident; and

1.1.4 “Service Provider” means an entity that receives Personal Information and is prohibited from retaining, using, selling, or disclosing such information other than in connection with providing the Services.

2. CCPA

2.1 The parties agree that, for purposes of the CCPA, the Customer is a Business and Teamgo is a Service Provider. The Customer represents and warrants that it will only provide or make Personal Information available to Teamgo in compliance with the CCPA.

2.2 Notwithstanding anything to the contrary in the Agreement, Teamgo shall not:

2.2.1 retain or use Personal Information other than as provided for in the Agreement or as needed to perform the Services; or

2.2.2 sell or otherwise disclose such Personal Information except to Service Providers needed to render the Services.

2.3 Notwithstanding anything else in this Addendum or in the Agreement, the Customer agrees that Teamgo, its affiliates, and each of their directors, officers, employees, agents, representatives, successors and assigns will not be liable under the Agreement for any claim arising from any action or omission by Teamgo that resulted from the Customer’s instructions or from Customer’s failure to comply with its obligations under the CCPA.
